1. Agreement and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and FY Freelancing Solutions (OPC) Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in Bangalore, Karnataka, India ("FreeYou", "Company", "we", "us", or "our").
By accessing, registering on, or using the FreeYou platform available at freeyou.co.in ("Platform"), including any associated mobile applications, APIs, or services, you agree to:
- Be bound by these Terms and any applicable policies (Privacy Policy, Refund Policy);
- Comply with all applicable laws and regulations of India;
- Use the Platform only for lawful purposes.
These Terms apply to all Users including Freelancers, Clients, Partners, and visitors to the Platform.
2. Definitions
- "Platform" means the website freeyou.co.in, all associated subdomains, mobile applications, APIs, and services operated by FreeYou.
- "Freelancer" means an independent professional who registers on the Platform to offer services, seek project opportunities, and build a verified professional profile.
- "Client" means a business entity or individual who uses the Platform to discover, engage, or procure services from Freelancers.
- "Partner" means an organisation, business, or individual that enters into a separate commercial arrangement with FreeYou for access to Platform services, data, or co-branded features.
- "Services" means all features, tools, and functionalities made available through the Platform, including but not limited to profile verification, project matching, AI tools, community access, and subscription-based features.
- "KYC" means Know Your Customer — the identity verification process conducted through our third-party provider (Didit) to authenticate a Freelancer's identity.
- "Subscription" means a paid, time-bound plan that grants access to premium Platform features.
- "Ad Hoc Service Fee" means a one-time or project-specific fee charged by FreeYou to Partners or Users for custom or premium services rendered outside of a standard subscription.
- "Content" means all text, data, profiles, portfolios, images, and other material uploaded or created by Users on the Platform.
3. About FreeYou
FreeYou is a freelance collaboration platform built for India's independent professional workforce. FreeYou provides:
- A digital marketplace connecting verified independent professionals with clients;
- Identity verification services to establish trust and credibility;
- Tools, resources, and community support to help independent professionals grow;
- An intermediary platform that facilitates introductions and connections — FreeYou is not a party to any contract or service agreement entered into between a Freelancer and a Client.
4. Eligibility
To use the Platform, you must:
- Be at least 18 years of age;
- Be a resident or legally incorporated entity within India, or have a legal basis to contract under Indian law;
- Have the legal capacity to enter into binding contracts;
- Not be prohibited from receiving services under applicable Indian laws or regulations;
- Not have been previously suspended or permanently banned from the Platform.
By registering, you represent and warrant that you meet all of the above eligibility criteria. FreeYou reserves the right to verify your eligibility at any time and to refuse access to any person who does not meet these requirements.
5. Account Registration and Security
5.1 Registration
To access certain features of the Platform, you must create an account by providing accurate, complete, and current information. You agree to keep your account information up to date at all times.
5.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your login credentials;
- All activities that occur under your account;
- Notifying FreeYou immediately at freeyouforever@outlook.com if you suspect any unauthorised access to your account.
5.3 One Account Per Person
Each individual or business entity may maintain only one active account on the Platform. Creating multiple accounts is a violation of these Terms and may result in suspension of all associated accounts.
5.4 Account Accuracy
You must not impersonate another person, use a false name, or provide false information. FreeYou reserves the right to disable or delete any account found to contain inaccurate information.
6. KYC Verification
6.1 Requirement
To obtain a Verified Professional badge and access certain features of the Platform (including project matching and client visibility), Freelancers are required to complete identity verification ("KYC").
6.2 Process
KYC is conducted through our third-party identity verification partner, Didit (verification.didit.me). You will be required to submit a valid government-issued identity document (Aadhaar, PAN Card, Passport, or Driving Licence) and a selfie for liveness verification.
6.3 Data Handling
FreeYou does not store your identity documents or biometric data. Only the outcome of verification (Approved / Declined / In Review) and a session reference are retained by FreeYou. All identity document data is processed by Didit in accordance with their privacy policy and India's Digital Personal Data Protection Act, 2023 (DPDP Act).
6.4 Verification Outcome
FreeYou does not guarantee that KYC verification will be approved. Decisions on identity verification are made by Didit based on document authenticity and liveness checks. FreeYou shall not be liable for any rejection of a KYC application.
6.5 Re-verification
FreeYou reserves the right to require re-verification at any time in the interest of platform security and integrity.
7. Platform Services
7.1 Free Tier (Freemium)
FreeYou offers a free tier of access that includes:
- Creation of a basic professional profile;
- Access to the FreeYou community and blog resources;
- Ability to apply for early access and waitlist features;
- Limited platform discovery features.
Free tier access is provided at FreeYou's discretion and may be modified, restricted, or discontinued at any time without prior notice.
7.2 Subscription Plans
FreeYou offers paid subscription plans ("Professional", "Premium", or similar tiers as updated from time to time) that provide additional features including but not limited to:
- KYC-verified profile badge;
- Priority project matching;
- AI tools and playbooks;
- Enhanced profile visibility;
- Dedicated community access.
Current subscription pricing is displayed on the Platform at the time of purchase. FreeYou reserves the right to revise subscription pricing with 30 days' advance notice to existing subscribers.
7.3 Ad Hoc and Custom Service Fees
In addition to subscriptions, FreeYou may charge one-time or project-specific fees for custom services rendered to Partners and Platform users. These may include but are not limited to:
- Curated talent sourcing and introductions for client businesses;
- Custom team-building engagements;
- Premium placement or featured profile services;
- Bespoke platform integrations or white-label services for corporate partners.
Ad hoc fees are individually agreed upon in writing (via email or a signed agreement) before any service is rendered. The applicable fee amount, scope, and payment terms will be communicated in advance.
7.4 No Employment Relationship
FreeYou is a technology platform. Nothing in these Terms creates any employment, agency, partnership, or joint venture relationship between FreeYou and any Freelancer, Client, or Partner. Freelancers are independent contractors.
8. Fees, Payments, and Taxes
8.1 Payment Processing
All payments on the Platform are processed through Razorpay (Razorpay Software Private Limited), a licensed payment aggregator regulated by the Reserve Bank of India (RBI). By making a payment on the Platform, you also agree to Razorpay's Terms of Service and Privacy Policy available at razorpay.com.
8.2 Accepted Payment Methods
FreeYou accepts payments via:
- Credit and Debit Cards (Visa, Mastercard, RuPay);
- UPI (Unified Payments Interface);
- Net Banking;
- Wallets and EMI (where available through Razorpay).
8.3 Subscription Billing
Subscriptions are billed in advance on a monthly or annual basis (as chosen at the time of purchase). Billing cycles begin on the date of subscription activation. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
8.4 GST and Taxes
All fees are exclusive of Goods and Services Tax (GST) unless expressly stated otherwise. GST at the applicable rate (currently 18% for digital services under the CGST Act, 2017) will be added to all invoiced amounts. A valid GST invoice will be issued for all paid transactions.
8.5 Failed Payments
In the event of a failed payment, FreeYou may suspend or downgrade your account to the free tier until outstanding dues are cleared. FreeYou is not responsible for any bank charges, gateway fees, or other charges imposed by your financial institution in connection with payments.
8.6 Currency
All transactions on the Platform are denominated in Indian Rupees (INR).
9. Refunds and Cancellations
Our complete Refund and Cancellation Policy is available at freeyou.co.in/refund-policy.html. Key provisions are summarised below:
- Subscriptions: Cancellations take effect at the end of the current billing cycle. Pro-rata refunds are available within 7 days of initial purchase if the service has not been materially used;
- KYC Verification Fee: Non-refundable once the verification session has been initiated, as the fee is passed to our third-party provider (Didit);
- Ad Hoc / Custom Service Fees: Governed by the specific written agreement for each engagement; refundability terms are stated in that agreement;
- Approved refunds are processed within 5–7 business days to the original payment method via Razorpay.
10. Freelancer Obligations
As a Freelancer on the Platform, you agree to:
- Provide accurate, complete, and up-to-date information in your profile and during KYC;
- Represent your skills, qualifications, and experience honestly;
- Fulfil all commitments made to Clients through or facilitated by the Platform, with professional diligence and in accordance with agreed terms;
- Maintain the confidentiality of any Client information shared with you;
- Comply with all applicable laws including labour laws, tax laws (including filing GST returns if registered), and professional regulations relevant to your craft;
- Not engage in any conduct that damages the reputation of FreeYou or other Platform users;
- Not circumvent the Platform to avoid applicable fees by directly soliciting clients first introduced via the Platform for a period of 12 months from the introduction.
11. Client Obligations
As a Client on the Platform, you agree to:
- Provide accurate information about your requirements and organisation;
- Engage with Freelancers professionally and in good faith;
- Make payments to Freelancers as agreed — FreeYou is not a party to and does not guarantee any payment commitments made between Clients and Freelancers;
- Not use the Platform to solicit Freelancers for purposes that violate applicable law or these Terms;
- Not engage in discriminatory conduct on the basis of caste, religion, gender, disability, or any other protected characteristic under Indian law.
12. Prohibited Activities
You must not use the Platform to:
- Post false, misleading, or fraudulent information;
- Impersonate any person, entity, or organisation;
- Engage in any unlawful activity including money laundering, tax evasion, or financing of illegal activities;
- Upload or transmit any malware, viruses, or harmful code;
- Scrape, crawl, or otherwise extract data from the Platform without written permission from FreeYou;
- Reverse engineer, decompile, or attempt to access the source code of the Platform;
- Circumvent any security or access controls of the Platform;
- Use the Platform to send unsolicited commercial communications (spam);
- Post content that is defamatory, obscene, pornographic, or promotes violence or hatred;
- Facilitate any transaction that violates the Foreign Exchange Management Act (FEMA) or RBI regulations;
- Use the Platform in any manner that could damage, disable, or impair its functionality.
Violation of any prohibited activity may result in immediate suspension or permanent termination of your account, reporting to law enforcement, and civil or criminal liability.
13. Intellectual Property
13.1 FreeYou's IP
All content on the Platform created by or belonging to FreeYou — including but not limited to the FreeYou name, logo, trademarks, software, website design, text, graphics, and data compilations — is the exclusive property of FY Freelancing Solutions (OPC) Private Limited and is protected under the Indian Trade Marks Act, 1999, the Copyright Act, 1957, and other applicable intellectual property laws.
13.2 User Content
You retain ownership of the Content you upload to your profile. By uploading Content, you grant FreeYou a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute such Content solely for the purpose of operating and promoting the Platform.
13.3 Feedback
Any feedback, suggestions, or ideas you provide to FreeYou regarding the Platform may be used by FreeYou without obligation or compensation to you.
14. Data Privacy and DPDP Compliance
FreeYou is committed to protecting your personal data in accordance with India's Digital Personal Data Protection Act, 2023 (DPDP Act). Our complete Privacy Policy is available at freeyou.co.in/privacy.html.
Key principles:
- We collect only the personal data necessary for providing Platform Services;
- Your data is not sold to third parties for advertising or marketing purposes;
- You have the right to access, correct, and request erasure of your personal data;
- Identity document data shared during KYC is processed by Didit and is not stored by FreeYou;
- All data processing is conducted on servers within or in compliance with applicable data localisation requirements.
15. Third-Party Services
The Platform integrates with third-party services including:
- Razorpay — Payment processing (razorpay.com);
- Didit — Identity verification (didit.me);
- Zoho CRM — Customer data management (zoho.com);
- Cloudflare — Hosting and security (cloudflare.com);
- PostHog — Analytics (posthog.com).
FreeYou is not responsible for the availability, accuracy, or conduct of third-party services. Your use of these services is subject to their respective terms and privacy policies. In the event of a conflict between these Terms and a third-party provider's terms, FreeYou's Terms govern with respect to the FreeYou Platform.
16. Disclaimer of Warranties
The Platform and all Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose;
- Warranties that the Platform will be uninterrupted, error-free, or free of viruses;
- Warranties as to the accuracy, completeness, or reliability of any Content on the Platform;
- Warranties as to the quality, skill, or reliability of any Freelancer's services.
FreeYou does not warrant that any project match, introduction, or engagement facilitated through the Platform will result in a successful business outcome for any party.
17. Limitation of Liability
To the maximum extent permitted by applicable Indian law, FreeYou, its directors, officers, employees, agents, and affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, data, goodwill, or business opportunity;
- Damages arising from your reliance on any information on the Platform;
- Damages arising from the conduct of any Freelancer or Client on the Platform;
- Damages arising from unauthorized access to or alteration of your transmissions or data.
In no event shall FreeYou's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the greater of: (a) the total fees paid by you to FreeYou in the three (3) months immediately preceding the event giving rise to the claim, or (b) INR 5,000 (Rupees Five Thousand).
Some jurisdictions do not allow limitation of liability; in such cases, the above limitations apply to the fullest extent permitted by law.
18. Indemnification
You agree to defend, indemnify, and hold harmless FreeYou, its directors, officers, employees, agents, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of or access to the Platform;
- Your violation of any provision of these Terms;
- Your violation of any applicable law or the rights of a third party;
- Any Content you submit, post, or transmit through the Platform;
- Any dispute between you and another User of the Platform.
19. Termination
19.1 By You
You may terminate your account at any time by contacting freeyouforever@outlook.com. Termination will take effect at the end of your current paid billing period (if any), and you will not be entitled to a refund of any prepaid subscription fees except as provided in the Refund Policy.
19.2 By FreeYou
FreeYou may suspend or permanently terminate your account, with or without prior notice, if:
- You breach any provision of these Terms;
- FreeYou reasonably believes your conduct poses a risk to the Platform, other Users, or third parties;
- Required by law, court order, or a competent regulatory authority;
- Your KYC verification is revoked or found to be fraudulent.
19.3 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall survive.
20. Governing Law and Dispute Resolution
20.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The following laws are specifically applicable:
- The Information Technology Act, 2000 and rules thereunder;
- The Consumer Protection Act, 2019;
- The Indian Contract Act, 1872;
- The Digital Personal Data Protection Act, 2023.
20.2 Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed. The seat and venue of arbitration shall be Bangalore, Karnataka, India. The language of arbitration shall be English.
20.3 Jurisdiction
Subject to the arbitration clause above, the courts of Bangalore, Karnataka shall have exclusive jurisdiction over any matter that falls outside the scope of arbitration or requires interim relief.
21. Grievance Redressal Officer
In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, FreeYou has appointed a Grievance Officer to address complaints and concerns raised by Users.

22. Amendments to These Terms
FreeYou reserves the right to amend these Terms at any time. Material changes will be communicated by:
- Posting the updated Terms on the Platform with a revised "Effective Date";
- Sending an email notification to registered Users at least 14 days before the changes take effect (for material changes).
Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you must stop using the Platform and may request account deletion.
